Event Terms

The standards governing registration, payment, participation, event materials, and professional conduct at SBC Capital events.

Version: 2026-02Effective: October 5, 2026
01

Agreement and scope

These Event Terms govern registration for and participation in events, webinars, private sessions, and related programs organized by SBC Capital Inc. By registering, purchasing a ticket, accepting an invitation, or attending, you agree to these terms. Event-specific terms disclosed on the event page, invitation, or checkout form also apply; if they conflict with these terms, the event-specific terms control for that event.

Professional and institutional audience

SBC Capital events are designed primarily for professional, institutional, and business audiences. Registration may be subject to eligibility criteria, invitation status, capacity, or verification.
02

Registration and access

  • You must provide accurate, current information and promptly update material changes.
  • A registration is personal to the named attendee and may not be resold, shared, or transferred without SBC Capital's written approval.
  • Access credentials, meeting links, recordings, and materials are confidential to the registered attendee unless expressly stated otherwise.
  • We may refuse or revoke registration where eligibility requirements are not met, payment is not completed, capacity is reached, or these terms are violated.
03

Fees, taxes, and payment

Fees are stated on the event page or checkout screen and, unless indicated otherwise, are charged in U.S. dollars. Applicable taxes may be added. Payments are processed by a third-party payment provider under its terms and privacy notice. A seat is not confirmed until required payment is authorized and you receive a confirmation.

04

Cancellations, substitutions, and refunds

  • Attendee cancellation: unless the event page states otherwise, a written cancellation received at least 14 calendar days before the scheduled start is eligible for a refund of the event fee, less any non-refundable processing charges disclosed at checkout.
  • Late cancellation or non-attendance: fees are non-refundable for cancellations within 14 calendar days of the event or for non-attendance, except where mandatory law requires otherwise.
  • Substitution: you may request a qualified attendee substitution before the event. Approval and any eligibility verification are at SBC Capital's reasonable discretion.
  • Cancellation by SBC Capital: if we cancel an event and do not provide a reasonable replacement date or equivalent access, our liability is limited to refunding the registration fee paid to us. We are not responsible for travel, accommodation, lost time, or other indirect costs.
05

Program changes and availability

Speakers, format, timing, content, and venue may change. We may reschedule, move an event online, combine sessions, or substitute a speaker when reasonably necessary. We will use the contact details supplied at registration to communicate material changes. Access may be interrupted by technology, connectivity, security, or circumstances beyond our reasonable control.

06

Educational purpose; no investment advice

Event content is provided for general educational and informational purposes. It is not investment, legal, tax, accounting, financing, or other professional advice; is not a recommendation or offer to buy or sell a security or pursue a transaction; and does not create an advisory, fiduciary, client, partnership, or agency relationship. Examples may be simplified, incomplete, or hypothetical. You remain responsible for independent diligence and professional advice suited to your circumstances.

Opinions belong to the individual speaker and may not reflect SBC Capital. Forecasts and forward-looking statements involve uncertainty. Past performance does not guarantee future results.

07

Confidentiality and material nonpublic information

Do not submit confidential or material nonpublic information

Do not disclose trade secrets, personal data about another person, deal-sensitive information, or material nonpublic information in questions, chat, networking, surveys, or other event interactions. An event is not a secure diligence room and participation does not create a confidentiality obligation unless SBC Capital separately agrees in writing.

You are responsible for ensuring you have authority to share any content you provide and for complying with securities laws, confidentiality duties, employer policies, and information barriers that apply to you.

08

Professional conduct

Participants must act professionally and respectfully. Harassment, discrimination, threats, disruption, impersonation, unauthorized solicitation, credential sharing, unlawful conduct, security interference, and collection of attendee data without permission are prohibited. We may mute, remove, refuse future access to, or report a participant when reasonably necessary to protect people, systems, or the integrity of the event. No refund is due for removal based on a material violation.

09

Intellectual property and permitted use

SBC Capital, speakers, and licensors retain all rights in event content, recordings, branding, and materials. Unless expressly authorized, you may use provided materials only for your personal, internal business reference. You may not record, photograph, scrape, reproduce, distribute, publish, sell, train an AI model on, or create derivative works from the event or materials. Limited quotations must comply with law, preserve context, and include attribution.

10

Recording and privacy

Some events are recorded. The event page or host will provide notice. Your registration data is handled under our Privacy Policy, and recorded participation is governed by our Recording Notice & Participant Consent. You must not record other participants without their permission.

11

Disclaimers and limitation of liability

To the maximum extent permitted by law, events and materials are provided “as is” and “as available,” without warranties of accuracy, completeness, merchantability, fitness for a particular purpose, or non-infringement. SBC Capital and its affiliates, speakers, officers, employees, and providers will not be liable for indirect, incidental, special, consequential, exemplary, or lost-profit damages arising from an event.

To the maximum extent permitted by law, SBC Capital's aggregate liability related to an event will not exceed the fee you paid SBC Capital for that event. These limits do not apply where liability cannot lawfully be excluded or limited.

12

General terms

These terms and any event-specific terms constitute the agreement regarding event participation. If a provision is unenforceable, the remaining provisions remain in effect. Failure to enforce a provision is not a waiver. You may not assign your rights without our written approval.

These terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. Courts located in Sheridan County, Wyoming will have exclusive jurisdiction, except where mandatory law gives you another forum or protection.
