Overview

About This Session

An approach from a private-equity buyer can raise as many questions as it answers. Who is behind the capital? What would change after a transaction? How should an owner think about control, continued involvement, liquidity, employees, and the future of the company?

Join Alexander Suvorov, Founder & Managing Principal at SBC Capital, for a plain-English introduction to private equity from the founder and business-owner perspective. We will explain the different parties you may encounter, compare common transaction paths, and walk through the stages from an initial conversation to diligence, closing, and post-transaction governance.

The session is designed to help owners prepare for informed conversations. We will discuss how business quality, customer concentration, management depth, financial reporting, and an owner's objectives shape a process, and why the headline valuation is only one part of evaluating an offer. An illustrative transaction will make the vocabulary concrete without assuming prior deal experience.

Who should attend: founders, family-business owners, owner-managers, and advisers supporting an ownership transition or growth-capital discussion. You do not need to be ready to sell.

Format: 70 minutes of introductory teaching and a worked example, followed by 20 minutes of live Q&A. This is an educational discussion, not a valuation of your business or transaction-specific legal, tax, or financial advice.

What You Will Learn

  • Recognize the roles of private-equity firms, independent sponsors, strategic buyers, and advisers.
  • Compare a full sale, a majority recapitalization, and a minority investment at an introductory level.
  • Understand the sequence from initial discussion and letter of intent through diligence and closing.
  • Identify questions about rollover equity, governance, incentives, and your role after a transaction.
  • Build a practical preparation list for financial reporting, management continuity, and owner objectives.
